Licensing agreement: Granting and acquiring usage rights

COLOGNE, Germany -- GRP Rainer Lawyers and Tax Advisors in Cologne, Berlin, Bonn, Düsseldorf, Frankfurt, Hamburg, Munich, Stuttgart and London – www.grprainer.com/en conclude: Granting a license allows certain things to be done or used which are otherwise prohibited. Licensing agreements now play an important role in everyday life, for example regarding the use of computer software. Protection of property and issuing licenses play a major role for industry and trade through appropriate licensing agreements. By issuing licensing agreements, third parties are granted corresponding usage rights, generally in return for payment of a license fee. The licensees are then allowed to use products, trademarks, patents or other rights, e.g. the broadcasting of football matches.

These usage rights and the mutual rights and obligations are regulated in the licensing agreement, which can be granted with temporal, geographical or topical restrictions. A distinction is made between non-exclusive and exclusive licenses. In the case of the former, the licensee normally acquires a right of use. The licensor is allowed to continue making use of the product, trademark, etc. and also confer the relevant licenses on other market participants. In the case of an exclusive license right, the licensee receives the rights exclusively, so to speak, and the licensor can no longer exploit them commercially. However, the licensee may continue issuing further sub-licenses.

Licensing agreements do not require any specific form and can be freely designed. The crucial point is that the licensor grants the licensee usage rights in return for compensation. The licenses are also often incorporated as general terms and conditions (GTC) in the agreement. Moreover, licensing agreements are frequently concluded in the publishing and music industries.

Since licensing agreements are very individual and can relate to completely different fields, a lawyer should be consulted when drafting the agreements. He can ensure that definitions and conditions are clear in order to render subsequent legal disputes, for example concerning the scope of a license, redundant.
